Part one of this four-part series focuses on critical issues surrounding the drafting of principal documents, including: NDA, LOI, due diligence, reps and warranties, indemnification, covenants, use of reps and warranties insurance, disclosure schedules, continuity of key employees, earn-out provisions, transaction structuring, rollover equity, purchase price adjustments, and coordinating with M&A team members.
Benjamin Harrison is an Associate of Sklar Kirsh in the Corporate Department. Benjamin’s practice focuses on representing both private and public companies in a variety of industries. He has experience counseling clients with respect to corporate law, mergers and acquisitions, joint ventures, and partner dispute resolution.
Benjamin graduated from California State University, Long Beach with a BA in English Literature and earned his JD at LMU Loyola Law School where he served as a Board Member of the Transfer Student Association. During law school, Benjamin was a Summer Associate at Kushner Carlson in Aliso Viejo, California and a Legal Intern at Abrams Garfinkle Margolis Bergson in Burbank, California.
Jennifer Cohen is a Corporate Partner at Sklar Kirsh LLP. Jennifer’s experience as in-house corporate counsel, and as an Associate representing corporate clients, brings diverse business-world experience and strong insights into the needs and challenges clients face. This includes advising on M&A, equity investments, capital markets, commercial transactions, and corporate governance matters. She advises clients in a wide range of industries, including media and entertainment, sports, and consumer products.
Scott R. Ehrlich is a Partner in the firm’s Corporate Department and the Department Head of the firm’s Mergers and Acquisitions Practice. Scott’s practice focuses on corporate M&A and finance transactions, with an emphasis in the entertainment and media industry.
Scott has more than 20 years’ experience representing diverse public and private clients in corporate transactions including mergers and acquisitions, joint ventures, strategic alliances, IPOs, equity and 144A debt offerings, PIPE transactions, and general corporate and business matters.
Scott has also represented start-up entities and investors in seed capital and venture capital financing rounds.Scott joined Sklar Kirsh after serving nearly nine years as the General Counsel of Deluxe Entertainment Services Group where he was the chief legal officer handling dozens of high-stakes, post-production and new distribution technology deals, mergers and acquisitions, corporate finance and joint venture activity along with providing day to day legal and commercial advice to business units around the world. Scott’s in-house experience gives him strong familiarity with the major entertainment companies and the many different sectors of the entertainment business, including new media. Having been a law firm client, Scott has a deep appreciation of what clients expect and how to provide services in a cost-effective manner.
